Terms of use
1. About these terms
These terms are for using the Scout Agency website ("the website"). By using it you agree to them. If you do not agree, please do not use the website. It is for adults aged 18 or over, acting for themselves or for an organisation, and is not directed at children.
The website gives information and lets you book a call or send an enquiry. These terms do not cover buying our services. That happens under a written agreement (clause 3).
2. Who we are
This website is run by Scout Atlas Limited ("the Company", "we"), a private company limited by shares, registered in England and Wales, company number 16625642. Our registered office is 1 Armstrong House, High Street, Uxbridge, UB8 1GJ. Scout Agency is a division and trading name of the Company, not a separate legal person. Email us at legal@scoutatlas.uk or write to the registered office.
3. This website creates no contract for our services
Nothing on the website is an offer, a quote or a promise that a service will be available. Booking a call or sending an enquiry, and any reply from us, does not create a client relationship, a partnership or an agreement to supply anything. We supply services only under a written agreement signed or accepted by both sides. If anything on the website differs from that agreement, the agreement prevails.
We offer three kinds of work: hosted systems (Scout Systems), infrastructure services (cybersecurity and cloud) and bespoke software. We sell them to businesses and public sector bodies, and, for bespoke software only, to individuals.
- Businesses and public sector bodies. The agreement is an order form that refers to our standard client terms, or, for larger or longer work, a master services agreement with a statement of work. We send the terms before any work starts. A public sector body may buy through its own procurement route; the contract documents for that route then apply.
- Ownership. For bespoke software, the client owns the code once every sum due is paid in full, and until then we own it. We keep our own platform, tools and pre-existing components, which the client uses under licence. The agreement is what binds; this summary does not change it.
- Security testing. We do not test anyone's systems without a signed written authorisation from a person entitled to give it.
- Individuals. If you buy bespoke software as an individual, outside your trade, business or profession, you are a consumer. Our standard business terms are not offered to consumers. Before any contract we will give you the information the law requires, and the written terms will set out your rights, including any right to cancel. Consumer law, including the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, gives rights that no term can take away. For services these may include a right to cancel within 14 days, which can be lost once a service is fully performed, if you asked us to start within that period and agreed to that in advance.
4. Using the website
Use the website only for lawful purposes. You must not, except as clause 6 or the law allows:
- copy, reproduce or redistribute a substantial part of it;
- use automated means to scrape, crawl or extract data from it, beyond ordinary search engine indexing;
- try to interfere with it, disrupt it, or reach its systems without authority, or test its security other than under our security disclosure terms;
- introduce a virus, malware or other harmful code;
- pretend to be another person or organisation; or
- use the booking service or the enquiry form to send unsolicited marketing, spam or unlawful content, or to make bookings you do not intend to keep.
5. Bookings and enquiries
Give accurate contact details and send nothing unlawful, defamatory or infringing. Do not put sensitive personal data in the message boxes. Calls are offered at the times the booking service shows, in UK time, and each email address can hold up to three future bookings. A booking is a booking of a call only. We may change or cancel a call if we have to, and will tell you by email. To change or cancel a call, reply to the confirmation email.
We use what you send to answer you, as our Privacy notice explains. We do not promise to keep it confidential unless we have agreed that in writing first, for example in a non-disclosure agreement. Please do not send material you need us to keep confidential until we have agreed that. We are free to develop ideas that are similar or identical to ones you send, unless they are protected by your copyright or another right of yours.
6. Intellectual property
The wordmark, the Summit and Arc mark, and all text, graphics, code and design on the website are protected by copyright and, where it applies, design right. The wordmark and the Summit and Arc mark are trade marks of the Company, whether or not registered. They belong to the Company or its licensors. You may view the website, print or download extracts for personal, non-commercial reference, and quote from it for criticism, review or news reporting with attribution, as the law permits. No other licence is granted. Our marks may not be used without our written permission.
If you think material on the website infringes your copyright, write to us at the contact details in clause 15 with your name and address, a description of the work, evidence that you own or represent the owner of the rights, where the material is on the website, and a statement that you believe in good faith that its use is not authorised. We will consider a complete complaint within a reasonable time and will remove or change the material if we are satisfied the complaint is well founded.
7. What the website shows
The website is for general information and is not professional, legal or financial advice. We take reasonable care to keep it accurate, but do not promise that every statement is complete or up to date. Descriptions of products, including Scout Ledger, do not mean a product is available to everyone at all times. Screens of Scout Ledger are labelled sample data and do not show a real business. A product with its own terms or contract is governed by those, not by these terms.
8. Availability
We try to keep the website available, but do not promise it will run without interruption or be free of faults. We may change it, suspend it or restrict access at any time, for example to protect its security or to comply with the law. Please keep your own protection against viruses.
9. Links to other websites
The website may link to sites run by others, including other Scout Atlas sites. We are not responsible for their content or practices, and a link does not mean we endorse them.
10. Privacy and cookies
The Privacy notice and Cookie notice explain how we handle personal data and browser storage. They are information for you and are not part of these terms.
11. Our liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow us to limit or exclude.
If you use the website as a consumer, your legal rights are not affected. The website is free and is information only. We are responsible for loss that is a foreseeable result of our breach of these terms or our failure to use reasonable care and skill. We are not responsible for loss that was not foreseeable. The website is not meant for use in the course of a business by consumers, so we are not responsible for business losses such as loss of profit or opportunity.
If you use the website in the course of a business, then, as far as the law allows, we are not liable for loss or damage from using or relying on the website or its content, whether in contract, tort (including negligence), breach of statutory duty or otherwise. That includes loss of profit, revenue, data or goodwill, and indirect or consequential loss. The website is free, and we think this is reasonable.
Our liability for a service we supply is set by the written agreement for it, not by this clause.
12. General
If part of these terms is found unenforceable, the rest still applies. These terms are the whole agreement between you and the Company about use of the website, and replace any earlier one on that subject. They do not cover our services, which clause 3 deals with. We may transfer our rights and duties under these terms to another organisation, and will say so on this page; that will not reduce your rights. You may not transfer yours. A delay in enforcing a term is not a waiver of it. Nobody other than you and the Company may enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
13. Governing law
These terms, and any dispute or claim about them or the website, are governed by the law of England and Wales. If you use the website for business, the courts of England and Wales have exclusive jurisdiction. If you are a consumer, you may bring proceedings in England and Wales or, if you live in Scotland or Northern Ireland, in the courts there, and you keep any mandatory consumer protection of the country where you live.
14. Changes to these terms
We may update these terms, for example to reflect changes in the law or in what the website does. The effective date at the top shows when they last changed, and earlier versions are available on request. If you keep using the website after a change you accept the changed terms. A change never alters a written agreement for our services.
15. Contact
Questions or complaints about these terms can go to legal@scoutatlas.uk, by post to the registered office in clause 2, or through the enquiry form.
